This Authority to Act allows SMYD Accounting / Advisory Limited to act on behalf of your company for Companies Office matters as part of our company secretarial (COSEC) services.

This must be signed by each director of the company. Use Add Another Signatory below to add each person.

This Authority to Act should be read together with our current Engagement Terms and Privacy Policy.

Companies Office Authority

The Company authorises SMYD Accounting / Advisory Limited and its authorised representatives to act on its behalf in relation to all Companies Office matters, including but not limited to:

• Filing annual returns.
• Updating company details, including the registered office, address for service, email addresses, shareholder addresses and director addresses, where instructed by the Company.
• Lodging and managing Companies Office forms and filings.
• Communicating with the New Zealand Companies Office regarding the Company’s records.
• Receiving correspondence and notifications relating to the Company’s Companies Office records where applicable.

The Company acknowledges and authorises SMYD Accounting / Advisory Limited to use approved third-party software and service providers, including Connectworks (or any replacement provider), to facilitate the preparation, management and submission of Companies Office filings and related corporate administration services. Any information shared with such providers will be limited to that reasonably required to perform these services and will be handled in accordance with SMYD Accounting / Advisory Limited Privacy Policy and applicable privacy laws.

This authority remains in force until revoked by the Company in writing. SMYD Accounting / Advisory Limited will only make changes to the Company’s records on the Company’s instructions or where required to fulfil its agreed engagement.

Disclosure of Information

You authorise SMYD Accounting / Advisory Limited to disclose your financial and taxation information to third parties where reasonably necessary to provide the agreed services, where required by law, or where you have otherwise authorised us to do so. This may include financial institutions, Inland Revenue, ACC, Companies Office, lenders, legal advisers, auditors, tax pooling intermediaries, and other professional advisers involved in your affairs.

Third-Party Service Providers

SMYD Accounting / Advisory Limited uses trusted third-party software and service providers to assist in delivering our services. These may include cloud accounting platforms, document management systems, electronic signature providers, corporate administration software, tax pooling intermediaries, and other professional service providers. Where necessary, we may provide these providers with access to your information solely for the purpose of delivering the agreed services. All information will be handled in accordance with our Privacy Policy and applicable New Zealand privacy legislation.

You authorise us to obtain, verify and retain identity and ownership information where required to meet our obligations under the Anti-Money Laundering and Countering Financing of Terrorism Act 2009.
